1. Acceptance of Terms

By accessing or using SBT Networks' services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Service Description

SBT Networks provides cloud-based business communications services, including:

• Voice calling (VoIP)
• SMS and messaging
• Video conferencing
• Phone number provisioning and porting
• Administrative portal and management tools
• Live voice translation (when available)

3. Account Registration

To use our services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be at least 18 years of age or have legal authority to enter into contracts
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Acceptable Use Policy

You agree not to use our services to:

• Violate any laws or regulations
• Send spam, unsolicited communications, or robocalls
• Harass, threaten, or harm others
• Transmit malware or malicious code
• Interfere with or disrupt our services
• Attempt unauthorized access to our systems
• Resell or redistribute our services without authorization
• Use services for fraudulent purposes

Violation of this policy may result in immediate suspension or termination of your account.

5. Billing and Payment

5.1 Fees

You agree to pay all fees associated with your selected plan and usage. Fees are billed monthly in advance unless otherwise specified.

5.2 Payment Methods

You must provide valid payment information. We use third-party payment processors to handle transactions securely.

5.3 Late Payment

Failure to pay may result in service suspension or termination. We may charge late fees as permitted by law.

5.4 Refunds

Refunds are provided at our discretion. Monthly subscription fees are generally non-refundable.

6. Service Level and Uptime

We strive to maintain 99.99% uptime but do not guarantee uninterrupted service. We are not liable for service interruptions due to:

• Scheduled maintenance
• Third-party provider issues
• Force majeure events
• Your internet connectivity
• Actions beyond our reasonable control

7. Number Porting

We will make reasonable efforts to port your existing phone numbers. However, we cannot guarantee successful porting due to factors outside our control, including carrier restrictions and regulatory requirements.

8. Emergency Services (E911)

IMPORTANT: Our VoIP services may have limitations compared to traditional phone service:

• E911 service requires accurate address information
• You must update your address if you relocate
• Service may not work during power or internet outages
• You should maintain alternative means of accessing emergency services

9. Intellectual Property

All content, trademarks, and intellectual property related to our services remain our property or that of our licensors. You may not copy, modify, or distribute our materials without permission.

10. Privacy and Data

Your use of our services is subject to our Privacy Policy. We collect and process data as described in that policy.

11. Third-Party Services

Our services integrate with third-party providers (Telnyx, Supabase, Auth0, AWS, BabelStream). We are not responsible for third-party service failures or their terms and policies.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our services are provided "AS IS" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for data loss, business interruption, or lost profits

13. Indemnification

You agree to indemnify and hold harmless SBT Networks from any claims, damages, or expenses arising from your use of our services or violation of these terms.

14. Termination

14.1 By You

You may cancel your account at any time through the admin portal or by contacting support. Cancellation takes effect at the end of your current billing period.

14.2 By Us

We may suspend or terminate your account for:

• Violation of these terms
• Non-payment
• Fraudulent activity
• At our discretion with 30 days' notice

14.3 Effect of Termination

Upon termination, your access to services will cease. We may delete your data after a reasonable retention period.

15. Modifications to Terms

We may modify these terms at any time. We will notify you of material changes via email or through our service. Continued use after changes constitutes acceptance.

16. Dispute Resolution

16.1 Governing Law

These terms are governed by the laws of the United States and the state where SBT Networks is registered.

16.2 Arbitration

Any disputes will be resolved through binding arbitration rather than in court, except for small claims court matters.

17. General Provisions

• Entire Agreement: These terms constitute the entire agreement between you and SBT Networks
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these terms without our consent
